These Terms govern access to SideBay, a product of and business-management service operated by Ironforge Studios. By creating an account, starting a trial, or using SideBay, you agree to these Terms.
Eligibility and accounts
You must be at least 18 and authorized to act for the business using SideBay. You are responsible for your account, team access, the accuracy of your records, and activity performed through your shop.
Plans, trial, and recurring billing
The Free plan includes up to three finalized invoices per month. SideBay Pro is available at $20 per month or $200 per year. Annual billing is equivalent to $16.67/month, billed annually and saves $40 per year compared with 12 monthly payments. Both intervals include a seven-day free trial. A payment method is collected when the trial starts.
Unless you cancel before the trial ends, Stripe charges either the first $20 monthly payment or one $200 annual payment when the trial expires, according to the interval you selected. The selected subscription then renews at that interval until canceled. Taxes may be added when required.
You can review billing and cancel through SideBay's Manage Billing link. Cancellation stops future renewals and ordinarily takes effect at the end of the current paid period. Details appear in Stripe before you confirm a billing change.
Your shop records and customer communications
You retain ownership of the business records you enter. You grant SideBay permission to host, process, reproduce, and transmit those records only as needed to provide the service. You are responsible for customer notices, permissions, record-retention duties, tax treatment, estimates, repair authorizations, warranties, and the legality and accuracy of communications sent through your shop.
SideBay does not process repair-customer payments at launch. Payment and refund entries are bookkeeping records only; the shop must complete the underlying transaction through its own processor, bank, or payment service.
Acceptable use
You may not use SideBay for unlawful, fraudulent, deceptive, abusive, or unauthorized activity; interfere with the service; attempt to access another shop's information; introduce malicious code; or use the service to send messages without required consent.
Business tool—not professional advice
SideBay organizes records and calculations. It does not provide legal, tax, accounting, diagnostic, engineering, or vehicle-safety advice. Shops remain solely responsible for repair decisions, inspections, customer disclosures, pricing, taxes, and compliance with applicable law.
Availability and account action
We may maintain, change, suspend, or discontinue portions of SideBay. We may restrict access for nonpayment, security threats, unlawful use, or material violation of these Terms. We will use reasonable efforts to preserve access to exportable records when practical and lawful.
Disclaimers and limitation of liability
SideBay is provided on an “as is” and “as available” basis to the fullest extent permitted by law. We disclaim implied warranties, including merchantability, fitness for a particular purpose, and noninfringement. To the fullest extent permitted by law, Ironforge Studios is not liable for indirect, incidental, special, consequential, exemplary, or lost-profit damages. Aggregate liability relating to the service will not exceed the SideBay subscription fees you paid during the three months before the event giving rise to the claim.
Governing law and contact
Illinois law governs these Terms, without regard to conflict-of-law rules. If any provision is unenforceable, the remaining provisions stay in effect. Questions may be sent to quotes@ironforge-studios.com.
